These Terms of Service ("Terms") are an agreement between you and Atengo, doing business as EasyAccounting ("EasyAccounting," "we," "us," or "our"). They govern your use of the EasyAccounting software and services at easyaccounting.online, including the web application, the AI assistant, and any integrations (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you agree to them on its behalf and confirm you have authority to do so.
Our Privacy Policy explains how we handle personal information and is part of these Terms.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. You may not:
We and our licensors keep all rights not expressly granted, including all intellectual property in the Service.
You must be at least 18 and give accurate account information. You are responsible for keeping your login credentials secure, for activity under your account, and for the users you invite. We recommend turning on two-factor authentication. Tell us promptly at security@easyaccounting.online if you suspect unauthorized access.
You own the data you put into the Service or connect to it ("Your Data"). You grant us a license to host, process, and display Your Data only as needed to provide, secure, and support the Service, and as described in the Privacy Policy. We do not sell Your Data. You can export your data while your account is active, and for 30 days after it ends. After that, we delete or retain it as the Privacy Policy describes.
You are responsible for the accuracy of Your Data and for having the right to provide it, including employee and customer information.
The Service can connect to services run by others, including Plaid, Intuit QuickBooks Online, Gusto, Shopify, Stripe, Ramp, and Google. When you connect one, you authorize us to access the data that service makes available, for the purposes of the Service. Your use of each third-party service is governed by its own terms. We are not responsible for third-party services, their availability, or the accuracy of the data they provide. You can disconnect an integration at any time in Settings.
The Service includes an AI assistant that can read your records and, with your instructions, create or change them. AI output can be wrong or incomplete. Review what the assistant proposes and does, particularly anything affecting taxes, payroll, or payments. You are responsible for the actions you ask it to take. Most assistant changes can be undone in the app. Chat messages and the records needed to answer them are processed by our AI provider, as described in the Privacy Policy.
EasyAccounting is software, not an accounting, tax, payroll, or legal advisor. Reports, tax estimates, tax forms, and payroll calculations are tools to help you. They are not professional advice, and they depend on the data you provide. You remain responsible for your books, for filing returns and forms, and for paying taxes, payroll, and other amounts on time. Consult a qualified professional for advice about your situation. Unless the Service expressly says so for a particular feature, we do not move money, pay employees, or make tax deposits or filings on your behalf.
We may add, change, or remove features. Features labelled beta or preview are provided as they are and may change or end. If we remove a material feature you are paying for, we will tell you in advance.
You can cancel at any time in the app or by contacting support. We may suspend or end your access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to us, other customers, or third parties. Where reasonable, we will give notice and a chance to fix the problem first. Sections 5, 8, and 11 to 15 survive termination.
To the extent the law allows, the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that its output will be accurate.
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility. Our total liability arising out of or relating to these Terms or the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim. These limits do not apply where the law does not allow them.
You will defend and indemnify us against third-party claims arising from Your Data, your use of the Service in breach of these Terms, or your violation of law, and pay resulting damages and reasonable costs.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in California, and both parties consent to their jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other for at least 30 days.
These Terms and the Privacy Policy are the entire agreement between us about the Service. If a provision is unenforceable, the rest remain in effect. Our not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
We will email account owners about material changes at least 14 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
